Roger D. Blair is Walter J. Matherly Professor and Chair of the Department of Economics at the University of Florida, where he has taught since 1970. He received his Ph.D. from Michigan State University. Makes A Complex Subject More User Friendly

I have worked in the Finance and Accounting field for almost twenty five years. Some of the most excitement I've had over that time involved participation in buying and selling companies.

When this book became available to me, I was immediately interested, because I wanted to see if any of the issues I had faced over the years were mentioned in the text. "Merger & Acquisitions for Dummies" was three for three:

1. Buying Assets vs. Buying Stock. In a very brief and easy to read several paragraphs, Mr. Snow discusses the benefits of buying assets, in particular, minimizing liability, and the benefits of buying stock, in particular, minimizing taxes. I was surprised to see such a complicated subject being discussed so quickly, but this is a necessity in this kind of "user friendly" treatment.

2. Accounting for subsequent changes in, or actual misrepresentations in working capital. This always happens in a deal, and again, the discussion was good, if brief.

3. Earn outs to keep existing management motivated. Nicely done, and a variety of approaches were discussed.

Basically, if you are undertaking a merger or acquisition of any size, everyone is going to hire professionals to help them through it. But this relatively friendly approach to the subject would be a handy quick reference for the executive on either end of the deal, to take back to his office in order to plan for the sequence and importance of events, and as the process gets underway, to figure out what just happened in that meeting.

To the extent of my limited experience with deals, I believe Mr. Snow has done a nice job of capturing the relevant points and organizing them in a way that allows the reader to find what they want, quickly.

Highly Readable Primer on the M & A Game - Five Stars !!!!!

This book is a fantastic introductory text on M&A perfect for four groups of people:

1) Business owners or executives interested in selling their business,

2) Businessmen interested in acquiring other companies,

3) Wall Street professionals looking to learn about M&A, and

4) Anyone interested in learning a lot about a fascinating and important aspect of business and the modern economy. If you fit into any one of these categories, reading Bill Snow's book is a wise investment.

Snow organizes his book in a way that most benefits novices in the area of M&A. The book is broken down into six parts:

Part I: Mergers and Acquisitions 101

Part II: Taking the First Steps to Buy or Sell a Company

Part III: Starting the Deal on the Right Foot

Part IV: Firming up the Deal

Part V: Closing the Deal...and Beyond!

Part VI: The Part of Tens

In Part I, Snow begins by giving a lay of the land for the rest of the book. He starts by defining what exactly M&A is and explains the myriad reasons someone would buy or sell a business. He talks about the nuts and bolts of selling a business, who is involved with this complex process, and how this process usually unfolds. By the end of Part I, the reader is left with the solid framework of M&A. Each successive part of the book gets deeper into the aspects of M&A discussed briefly in Part I. For frequent readers of the Wall Street Journal who are reading the book merely for interest, Part I may be sufficient. Professionals need to know the details and nuances presented throughout the rest of the book.

Part II delves into the first steps of the process. Snow walks businessmen through the facets of financing a M&A deal, hiring and utilizing outside advisors (e.g. investment bankers and accountants), and how buyers and sellers should contact one another to initiate a deal. Once contact has been established between buyers and sellers, Part III explains the responsibilities of each of the parties involved, from the confidentiality agreement to the all-important offering document. Part IV is crucial because it explains how M&A negotiating actually works and a deal is made. It details how offers should be made, the importance of due diligence, and the way the final purchase agreement is structured. Part IV is the "climax" of the book.

Part V is about all of the work that must be done to finalize the deal and start the involved process of bringing the two companies together. This is the part of the process where actual business management begins to eclipse the art of making an M&A deal. In the final section, Part VI, Snow goes back over some of the important parts of the book discussed earlier and talks about common mistakes made as well as how to solve problems that come up in the process.

Mergers & Acquisitions (for Dummies) is a nice read not only for its content, but also for its presentation. Like most Dummies books, the author is experienced in the subject of the book. Snow's experience shines through in the anecdotes and cases that he uses to illustrate the principles of M&A. His comfort with the subject is obvious from his sometimes-funny-but-not-too-funny approach that is easy to digest but does not sacrifice substance. Snow fills the text with "tips," "warnings," and "reminders" for the reader, as well as relevant asides highlighted in gray boxes. This book does not disappoint.

Fast-reading M&A introduction

A lawyer customer said he wanted more M&A work, so, as a marketer, I read this book to understand what M&A involved. My goal was to understand M&A's language, learn how to read further, and be able to discuss my lawyer.

This book is exceptionally easy to read, provides a framework for further talking about M&A, and met my goals above very well. Five stars for a fast-reading introduction.

Missing Tones

Living overseas, I bought this book and had a friend bring it to me without having seen it. I also bought this before the posted review of 'Missed the Mark' and wish I had seen that review beforehand. Indeed, even though the cover itself has a picture with the dialogue showing tonal markings, the book itself has none inside. I was quite surprised because in reading the introduction it even has a short briefing on the tones used, but doesn't mark them at all throughout the book.

While the phrases itself are useful, I literally had to go through and mark the proper tones after checking with several other sources. This as well as a few typos in the pronunciation and one where it simply retypes the English and forgets to type in the pronunciation bring this to be a mistaken buy.

Missed the Mark

I am living in China and taking Mandarin lessons - I had a friend bring me this book without having looked at it. It has a major flaw - the Pinyin (the a-b-c version of Characters) does not have the tone markings. This means that you will not be understood without the correct tone - I know that from repeated experience. For instance "mai" can be pronounced 4 different ways each with a different meaning - pronounced in 4th tone is to SELL and 3rd tone is to BUY and 2nd tone is to BURY. Look at the learning dictionaries by Tuttle publishing with the author of Li Dong and then get a Rough Guide or Lonely Planet phrase book -they show Pinyin with tone marks. A language DVD and hand recorder would help you to match the tones very well if you are serious.

You can do better.

This book had the potential to be useful but whoever put it together has made a terrible error.

The book opens with a section telling the reader that tones are essential for correctly speaking Chinese. Mandarin, the Chinese language of this book, has four tones ( five if you count a silent one). Without them you can't communicate.

So far, so good.

Then, inexplicably, the book continues to the end without any tones to be found anywhere.

Really inexplicable and, fundamentally, something which rendered this completely useless for me.

This author has produced some good books. This is not one of them.

These conversations, edited from interviews California-based writer Isenberg (Making It Big) began with Gehry in the 1980s, cover topics from his first buildings—made as a boy from chips of firewood on his grandmother's floor—to current large-scale projects like a $3 billion redesign for Grand Avenue in downtown L.A. There is talk about the architectural politics of Los Angeles and the practical aspects of running a large architectural office. And while Gehry never name-drops, readers do get a sense of the celebrity and high-finance crowds in which he circulates. Gehry says he has always been more influenced by artists than by other architects, and those influences range from such friends as Robert Rauschenberg to Vermeer and Hieronymus Bosch. Awesome concept, even better execution. Having read lots of books by and about the Cowboys, this is the first insight I've read on a foe's perspective of what it was like facing them. So many fun and funny tales.

According to the dust jacket, eighty "noted Dallas foes" will share their experiences of playing against America's Team! That's a lot to pack into 228 pages. Included are Joe Theisman, Conrad Dobler, "and many others".

I was expecting many short chapters covering each opponent. Instead, the book's sixteen chapters are organized around 24 of the Cowboy's all-time greats, like Bob Lilly, Rayfield Wright, Roger Staubach, Randy White, Tony Dorsett, and the Triplets. The author selected HOFers, ROH enshrinees, and some players from the five Super Bowl champs. All are worthy.

Before I get into the specifics of this book, I should note that the idea of collecting viewpoints of opponents of the Dallas Cowboys and putting in book form is not a new idea. Bert Sugar’s classic, "I Hate the Dallas Cowboys: And Who Elected Them America's Team Anyway?" (1983) started it all, and it’s been done a couple of times since, with varying degrees of success.

But on to the title at hand! The four Sections are organized by era: The Foundation, Roger's Team, The Triplets, and Overtime. So basically, the post-Roger and post-Triplet eras are ignored.

For each chapter, the author provides a brief summary of that chapter's Cowboy, and then follows that with recollections of various opponents. The quality of the player recollections is uneven; Harold Jackson's recollections of playing against Lee Roy Jordan, for example, are just a couple of sentences. He basically says "Killer" was a great player.

I think the best section of the book was no 4: Overtime. In it, the author collects miscellaneous quips, anecdotes and stories that are not tied to a specific Cowboy player, but rather are about the Cowboys in general, or are about life in the NFL in general. I won't give away any nuggets, but there are some real gems in the final section.

There are two serious failings with the book: First and the most egregious error: there is no index! When I opened the book and saw how it was arranged, I immediately flipped to the back to find listings by opponent, but there are none. If you want to know what Conrad Dobler thought about playing against the Cowboys, you'll have to flip through the book until you find him. This is a major negative (if you know your Cowboys history, and can go to the appropriate era, that will narrow your search, e.g., I found Dobler in the Bob Lilly chapter).

Second, and a somewhat lesser (although still serious) offense: the author lists no references. I get that much (most?) of the material was gathered by face-to-face interviews, but 100% of it? I doubt it. It would be nice to know which secondary sources (if any) the author relied upon. Isn't that the first thing we are taught when writing a term paper or any length of research?

Finally, a word about the author himself: the dust jacket says McFarland has covered news and sports for the Associated Press, the Dallas Morning News, and other media. But it never says he actually covered the Cowboys. Obviously, you don't have to be a Cowboys beat reporter to write a book about the team. But it helps. Having that daily exposure brings a depth and nuance that can't be replicated by the occasional article writer. That depth and nuance is missing from this book. Maybe that’s why McFarland calls himself an "editor" instead of the "author".
